Welcome to KOUD! These Terms & Conditions ("Terms") govern your use of our website www.koud.co (the "Site") and the purchase or use of our products and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
KOUD Life Pty Ltd (ABN: 64 677 482 914) ("KOUD", "we", "us", or "our") operates this website and provides our Services subject to these Terms.
1. Acceptance of Terms
1.1 By using our Site or purchasing from us, you agree to these Terms, including any additional policies linked or referenced herein.
1.2 If you do not accept these Terms, you must not use our Services.
1.3 We reserve the right to update or modify these Terms at any time. Continued use of our Services after changes are posted constitutes acceptance of those changes.
2. Online Store Terms
2.1 You must be at least 18 years old or have parental/guardian consent to use our Services.
2.2 Our products must not be used for illegal or unauthorized purposes. You agree not to violate any laws, including copyright or intellectual property laws.
2.3 Any breach of these Terms may result in the termination of your access to our Services.
3. Orders & Payments
3.1 Product Availability – All orders are subject to availability. We may discontinue or modify products at any time.
3.2 Pricing – Prices are listed in [Insert Currency] and may change without notice. If a pricing error occurs, we reserve the right to cancel or adjust the order.
3.3 Payment Processing – Payments are securely processed through Shopify Payments. You agree to provide accurate billing and payment details.
3.4 Order Cancellation – Once an order has been processed, it cannot be canceled. Contact hello@koud.co for assistance.
4. Shipping & Delivery
4.1 Shipping Locations – We ship within Australia and internationally. Customers are responsible for all applicable duties, taxes, and customs charges.
4.2 Delivery Timeframes – Delivery estimates are provided at checkout but are subject to change due to external factors.
4.3 Lost or Damaged Orders – If your order arrives damaged or is missing, you must contact us at hello@koud.co within 3 days of delivery.
5. Returns & Refunds
5.1 Return Eligibility – You may return products within 30 days of receiving them if they are unused, in original packaging, and in resaleable condition.
5.2 Refund Process – Refunds will be processed within 5-7 business days after the returned product has been inspected.
5.3 Non-Returnable Items – The following items are non-refundable and cannot be returned:
- Gift cards
- Filters
- Maintenance products
- Any other items that are not ice baths or chillers
5.4 Return Requests – To initiate a return, contact hello@koud.co within the 30-day window.
6. Warranty & Liability
6.1 Product Warranty – KOUD products come with a 2-year limited warranty covering manufacturing defects. This warranty does not cover normal wear and tear, misuse, or unauthorized modifications.
6.2 User Responsibility – By using our products, you acknowledge and accept the risks associated with cold exposure. Consult a medical professional before use if necessary.
6.3 Limitation of Liability – To the maximum extent permitted by law, KOUD shall not be liable for any indirect, incidental, or consequential damages arising from the use of our products or Services.
7. Intellectual Property
7.1 All content on the Site, including text, images, logos, and product designs, is owned by KOUD or licensed for our use. Unauthorized use is prohibited.
7.2 You may not copy, distribute, modify, or reproduce any part of our Site or products without our written consent.
8. Prohibited Activities
You may not use our Services for:
- Any unlawful or fraudulent activity
- Transmitting viruses or malicious code
- Collecting or tracking personal data of others
- Interfering with or bypassing security features
KOUD reserves the right to terminate access to users engaging in prohibited activities.
9. User Content & Reviews
9.1 If you submit reviews, comments, or content to our Site or social media, you grant KOUD a non-exclusive, royalty-free license to use, publish, or modify it.
9.2 We reserve the right to remove any content that is offensive, defamatory, or violates our policies.
10. Third-Party Links & Tools
10.1 Our Site may contain links to third-party websites. KOUD is not responsible for their content, policies, or practices.
10.2 We may offer third-party tools but do not control them and are not responsible for their performance.
11. Privacy Policy
Your use of our Services is also governed by our Privacy Policy, which details how we collect, use, and protect your personal information.
12. Fraudulent Orders & Security
12.1 We implement fraud prevention measures. If Shopify flags an order as suspicious, we may conduct additional verification, including contacting the customer.
12.2 We reserve the right to cancel fraudulent or high-risk orders at our discretion.
13. Governing Law
These Terms are governed by and interpreted in accordance with the laws of Victoria, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Victoria.
14. Severability & Waiver
14.1 If any provision of these Terms is found to be invalid, the remaining sections remain enforceable.
14.2 Our failure to enforce any right under these Terms does not constitute a waiver of those rights.
15. Termination of Service
15.1 We may suspend or terminate your access to our Services at our discretion, without notice, if you violate these Terms.
15.2 You may terminate your agreement with KOUD by ceasing use of our Site and Services.
16. Changes to These Terms
16.1 We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date.
16.2 Your continued use of our Services after changes are posted constitutes acceptance of those changes.

KOUD x The Breath Haus Unplugged Byron Bay Retreat Competition

1. Promoter
The promoter is KOUD Life Pty Ltd (ABN: 64 677 482 914) (“KOUD”) of 2/4 Watersedge Terrace, Highton, VIC, 3216, Australia, in partnership with The Breath Haus.
2. Eligibility
2.1 Entry is open to Australian residents aged 18 years or over.
2.2 Employees (and their immediate families) of the Promoter, prize suppliers, and agencies associated with this competition are ineligible to enter.
2.3 By entering, entrants confirm they meet all eligibility requirements.
3. Competition Period
The competition opens at 9:00am AEST on 2nd July 2025 and closes at 11:59pm AEST on 16th July 2025 (“Competition Period”). Entries received after the closing date will not be accepted.
4. How to Enter
4.1 To enter, eligible individuals must during the Competition Period:
a) Follow both KOUD and The Breath Haus on Instagram or TikTok;
b) Share the competition post to their story;
c) Tag a friend in the comments of the competition post; and
d) Complete and submit the official entry form at https://tally.so/r/n0Y5J9
4.2 Only one entry per person is permitted.
4.3 Entry is free; no purchase is required.
5. Prize
5.1 There are 30 all-expenses-paid spots for a 3-day KOUD x The Breath Haus retreat in Byron Bay, NSW, Australia (“Prize”).
5.2 Each Prize is valued at $5,000 AUD (total prize pool $150,000 AUD).
5.3 The Prize includes:

Accommodation for 3 days/2 nights at the retreat venue (4th August–7th August 2025)

All meals and scheduled retreat activities

Breathwork sessions, ice bath experiences, movement classes, and community events
5.4 The Prize does not include: -
Travel to and from the departing airport

Spending money, personal expenses, snacks, or alcohol

Any additional costs not expressly stated above
5.5 The Prize is not redeemable for cash or transferable to another person. If a winner is unable to attend, the prize will be forfeited and awarded to another entrant.
6. Winner Selection and Notification
6.1 Winners will be selected by KOUD and The Breath Haus based on the story/answers provided in the entry form (“game of skill”).
6.2 Winners will be chosen and announced on 18th July 2025 via the KOUD and The Breath Haus Instagram and TikTok accounts.
6.3 Winners will also be notified by email and/or phone.
6.4 If a winner does not respond within 7 days of notification, or is unable to attend, the prize will be forfeited and awarded to another entrant.
7. Publication of Winners
By entering, entrants consent to the publication of their name, location, social media handle, and their “why” story on KOUD and The Breath Haus websites, social media channels, and other marketing materials.
8. Use of Personal Information & Consent
8.1 By entering, entrants agree to the collection and use of their personal information by KOUD and The Breath Haus for the purposes of administering the competition, contacting entrants, and awarding prizes.
8.2 Entrants agree to receive marketing communications (newsletters, updates, and promotional offers) from KOUD and The Breath Haus. Entrants may unsubscribe at any time.

9. Code of Conduct
9.1 Winners must agree to the retreat code of conduct and any house rules as a condition of attendance.
9.2 KOUD and The Breath Haus reserve the right to remove or disqualify any winner who does not comply.
10. Limitation of Liability
10.1 Except for any liability that cannot by law be excluded, KOUD and The Breath Haus (including their officers, employees, and agents) exclude all liability for any loss or damage, whether direct, indirect, special or consequential, arising in any way out of the competition or retreat.
10.2 Winners participate in the retreat at their own risk. It is the responsibility of each winner to ensure they are medically fit and able to participate in all scheduled activities.
11. Insurance
KOUD and The Breath Haus will obtain relevant event insurance, but winners are responsible for their own personal insurance and health requirements.
12. Cancellation or Variation
KOUD reserves the right to amend, cancel, or suspend this competition or its Terms & Conditions at any time, subject to relevant state or territory legislation.
13. Governing Law
These Terms & Conditions are governed by the laws of Victoria, Australia. Entrants submit to the non-exclusive jurisdiction of the courts of Victoria.
